1.Account Registration and Roles
To create an Organization on UnitTally, you must register an account. You represent and warrant that the information you provide is accurate and that you are authorized to bind your Organization to these Terms. You are responsible for maintaining the security of your credentials.
Your Organization’s owners and admins decide who can use the console and give each person a role: owner, admin, or volunteer. You agree to oversee their activity and ensure it complies with these Terms.
2.Payment Processing and Stripe
Railyard Ops LLC holds the UnitTally platform account with Stripe and facilitates card processing through Stripe Connect. By enabling online payments, you agree to the Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement. Railyard Ops LLC never receives or stores card numbers and never holds your Organization’s funds. Payments go directly to your Organization’s connected Stripe account.
3.Platform Fees and Caps
Railyard Ops LLC charges a UnitTally platform fee on online transactions based on your Organization’s plan (Free, Plus, or Pro). We collect it through Stripe as an application fee deducted from each payment. The UnitTally platform fee is separate from Stripe’s payment processing fee, which Stripe charges under your agreement with Stripe.
UnitTally platform fees are capped per transaction as detailed on our Pricing page. Payments you record by hand in the console, such as cash and checks, incur no UnitTally platform fee.
4.Refunds, Paid Plans, and Cancellations
Storefront purchases and refunds: For purchases and donations made through an Organization’s storefront, the Organization is the seller or the recipient of the donation. Railyard Ops LLC provides the software and is not a party to storefront transactions. Buyers seeking a refund, return, or order change must contact the Organization. A refund returns the item prices. On a full refund, the Organization decides whether to also refund any fees the buyer chose to cover, and that amount comes from the Organization’s Stripe balance. When an Organization refunds an order, even in full, the UnitTally platform fee charged on that order is not returned. A fee-free transaction, such as one of your first 10 online sales, is used when the order is placed and is not restored if the order is refunded or canceled. Whether Stripe returns any of its payment processing fee is governed by your agreement with Stripe.
Paid plans: Railyard Ops LLC bills the Plus and Pro plans and their add-ons. You may cancel a paid plan at any time from the console. Cancellation takes effect at the end of the current billing period, your Organization keeps its paid features until then, and we do not refund partial billing periods. Canceling an add-on billed with your plan removes it immediately, and the unused time is credited to your next invoice. An add-on billed on its own stays active until the end of its billing period, and we do not refund that period. If you are charged twice for a plan by mistake, we refund the duplicate charge in full.
5.Acceptable Use
You agree not to use the Services for any illegal or unauthorized purpose. You must not violate any laws in your jurisdiction, including tax regulations, fundraising licensing rules, and consumer protection laws.
6.Content Ownership and Licenses
You retain all rights to any logo, text, images, or other assets you upload to your storefront or console. You grant Railyard Ops LLC a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content to deliver the Services.
7.Copyright Complaints
If you believe material on a UnitTally storefront infringes a copyright you own or control, send a written notice to legal@unittally.com that identifies the copyrighted work and the web address of the material, gives your contact information, and states that you believe in good faith that the use is not authorized by the copyright owner. We may remove or disable access to material reported to us.
8.Termination and Suspension
An Organization’s owner may delete the Organization from the console once no paid plan or add-on is still active. A canceled plan stays active until the end of its billing period, so deletion becomes available after that date. Railyard Ops LLC may suspend or terminate an Organization’s access to the Services if the Organization violates these Terms, presents a fraud or security risk, or uses the Services in a way that creates legal liability for us. While an Organization is suspended, its storefront is unavailable to visitors and the Organization cannot be deleted.
For 30 days after an Organization is deleted, we can restore it at the owner’s request. After that, its data is purged, except for records we are required to retain, as described in our Privacy Policy. Deleting or suspending an Organization on UnitTally does not close or restrict your Organization’s Stripe account or affect funds already paid out to it.
9.Limitation of Liability
To the maximum extent permitted by law, Railyard Ops LLC and its owners, managers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data, whether incurred directly or indirectly.
To the maximum extent permitted by law, the total liability of Railyard Ops LLC for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of the platform fees and subscription fees your Organization paid to Railyard Ops LLC in the 12 months before the event giving rise to the claim, or one hundred U.S. dollars ($100).
10.Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or relating to them or their subject matter shall be governed by and construed in accordance with the laws of the State of New York, United States, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the federal or state courts located in Monroe County, New York.
For your use of UnitTally, these Terms take precedence over any general website terms published on railyardops.dev.
11.Changes to These Terms
We may update these Terms to reflect changes to the Services, our fees, or applicable law. When we do, we will change the “Last updated” date at the top of this page, and for material changes we will email the owners of active Organizations. Your continued use of the Services after updated Terms take effect means you accept them.
